Welcome to Slasify! These Terms of Service ("Terms") govern your access to and use of the Slasify platform, operated by Slasify Pte Ltd ("Slasify," "we," "us," or "our"). These Terms apply to all users of the platform, including Clients, Contractors, Employees, and any other individuals or entities who access or use our services. Slasify is committed to protecting your personal data and ensuring compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws.. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue your use of the platform immediately. Slasify reserves the right to modify these Terms at any time, and your continued use of the platform constitutes acceptance of any changes.
Overview
Slasify is a comprehensive digital platform designed to facilitate the connection between businesses ("Clients") and independent professionals ("Contractors") across various industries. In addition to our core services, Slasify now offers enhanced Employer of Record (EOR) services that simplify both global and local workforce management. The platform offers a range of services including:
- Employer of Record (EOR) services: Slasify acts as the legal employer for workers, handling payroll, taxes, benefits, and compliance with local labor laws. This service allows Clients to engage workers in different countries or regions without setting up a local entity, ensuring full compliance with local and international regulations.
- Contractor management: Slasify provides tools and services to help Clients manage Contractors, including onboarding, performance tracking, and compliance management.
- Payroll services: Slasify manages payroll processing for Contractors and workers, ensuring accurate and timely payments in compliance with local regulations, including handling taxes and deductions.
- Remote relocation: Slasify assists with the remote relocation of employees, including visa processing, housing arrangements, and compliance with local regulations.
- Expansion consulting services: Slasify offers consulting services to help businesses expand into new markets, providing strategic advice and support for navigating local regulations and establishing a presence in new regions.
- Payment processing: Slasify offers secure payment processing services to ensure timely and accurate compensation for completed work.
- Compliance and legal support: The platform provides resources and tools to help Clients and Contractors comply with relevant legal and regulatory requirements.
- Attendance management: Slasify offers tools for tracking and managing worker attendance, ensuring compliance with company policies and labor regulations.
- Leaves management: The platform provides a system for managing leave requests, approvals, and tracking, helping Clients to ensure compliance with local laws and company policies.
- Reimbursement management: Slasify provides services to manage worker reimbursements, ensuring accurate processing of expenses in line with company policies.
- Team management: Slasify offers tools for managing teams, including roles, responsibilities, and communication within the organization.
Definitions
For the purposes of these Terms, the following definitions apply:
- Account: An individual or entity profile created to access and use the Slasify platform.
- Client: A user who engages contractors through the platform to perform services on their behalf.
- Contractor: An independent professional who provides services to clients through the platform.
- Employee: An individual who is employed by Slasify under the Employer of Record (EOR) service and performs work on behalf of a client, with Slasify handling payroll, taxes, benefits, and compliance with local labor laws.
- Employer of Record (EOR): A service provided by Slasify, acting as the legal employer for workers on behalf of clients, managing payroll, taxes, benefits, and ensuring compliance with local labor laws.
- Services: All functionalities, features, and services made available by Slasify through the platform, including but not limited to Employer of Record (EOR) services, contractor management, payroll processing, payment processing, remote relocation assistance, and expansion consulting services.
- Contract: A legally binding agreement between a client and a contractor or employee, facilitated by the platform, outlining the scope of work, payment terms, and other relevant conditions.
- Content: Any text, graphics, logos, videos, software, data, and other materials uploaded, downloaded, or appearing on the platform.
- User content: Content created, uploaded, or provided by users of the platform, including profiles, project descriptions, contracts, and communications.
- Third-party services: Services provided by third-party entities that are integrated or used in conjunction with the Slasify platform.
- Data controller: Slasify, which determines the purposes and means of processing personal data.
- Data processor: Any third party that processes personal data on behalf of Slasify.
- Personal data: Any information relating to an identified or identifiable natural person.
- Processing: Any operation or set of operations performed on personal data, such as collection, storage, use, disclosure, or deletion.
Eligibility
- Age requirement: You must be at least 18 years old to create an Account and use the platform. By registering for an Account, you represent and warrant that you meet this eligibility requirement.
- Entity representation: If you are using the platform on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind the entity to these terms. The entity is fully responsible for your use of the platform.
- Prohibited users: The platform is not available to users who have been previously banned or removed by Slasify. By using the platform, you represent that you have not been previously banned or removed from the platform.
- Geographic restrictions: The platform is intended for users within jurisdictions where Slasify operates and is legally permitted. You are responsible for ensuring that your use of the platform complies with all applicable laws in your jurisdiction.
Account registration and security
- Account creation: To use the platform, you must create an account by providing accurate, current, and complete information as requested during the registration process. You agree to update your account information promptly if there are any changes.
- Account types: Slasify offers different types of accounts based on your role (client, contractor, or other). Each account type has specific features and access levels tailored to its intended use.
- Account verification: Slasify may require you to verify your identity as part of the registration process. Verification methods may include providing identification documents, confirming email addresses, or other procedures as determined by Slasify.
- Account security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Slasify immediately of any unauthorized use of your account or any other breach of security. Slasify will not be liable for any loss or damage arising from your failure to comply with these security obligations.
- Account responsibility: You agree that you are responsible for any actions taken using your account, whether or not authorized by you. This includes responsibility for any content uploaded, contracts created, and payments made through your account.
- Multiple accounts: You may not maintain more than one account unless explicitly permitted by Slasify. If you have multiple roles (e.g., both a client and a contractor), you may need to create separate profiles under one account.
Data collection and use
- Slasify collects and processes personal data in accordance with GDPR: Personal data collected may include, but is not limited to, names, email addresses, payment details, and other information necessary for providing services.
- The legal basis for processing your personal data: includes your consent, the performance of a contract, compliance with legal obligations, and our legitimate interests.
User rights
- Right to access: You have the right to request access to your personal data.
- Right to rectification: You can request corrections to any inaccuracies in your personal data.
- Right to erasure ('Right to be Forgotten'): You may request the deletion of your personal data, subject to legal obligations.
- Right to data portability: You can request to receive your data in a structured, commonly used format.
- Right to object: You may object to the processing of your data in certain circumstances.
- Right to withdraw consent: If you have provided consent for data processing, you may withdraw it at any time.
Use of services
- License to use: Slasify grants you a limited, non-exclusive, non-transferable license to access and use the platform and services for your internal business purposes, subject to these terms.
- Acceptable use: You agree to use the platform in compliance with all applicable laws, regulations, and guidelines. You are prohibited from using the platform for any illegal activities, to infringe on the rights of others, or to disrupt the operation of the platform. Specifically, you agree not to:
- Use the platform to send or store unlawful material or for fraudulent purposes.
- Use the platform to distribute malware, viruses, or other harmful software.
- Engage in unauthorized scraping, data mining, or data harvesting.
- Attempt to gain unauthorized access to the platform or related systems or networks.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Use the platform to harass, abuse, or discriminate against others.
- Engage in any activity that could damage, disable, or impair the platform or interfere with any other party’s use of the platform.
- Service availability: Slasify will use reasonable efforts to ensure that the platform is available at all times. However, we do not guarantee uninterrupted access to the platform, and we reserve the right to suspend, withdraw, or restrict access to all or any part of the platform for business and operational reasons.
- Modifications to services: Slasify reserves the right to modify, update, or discontinue any part of the services, including adding or removing features, at any time without prior notice. Slasify will not be liable to you or any third party for any modification, suspension, or discontinuation of the services.
- Third-party services: The platform may integrate with or allow access to third-party services. Your use of such services is subject to the terms and conditions of the third-party providers. Slasify is not responsible for the content, performance, or compliance of third-party services and does not endorse or assume liability for any third-party products or services.
Contracts between clients and contractors(or employees)
- Contract creation: Clients, contractors, and employees can create and negotiate contracts within the platform. Contracts may include details such as the scope of work, deliverables, timelines, payment terms, intellectual property rights, confidentiality obligations, and other relevant conditions. - Contract execution: Contracts created and agreed upon within the platform are legally binding. Slasify provides digital tools for electronic signature, making the contract enforceable under applicable laws. Once executed, both parties are bound by the terms of the contract.
- Amendments and modifications: We may update these terms to ensure ongoing compliance with GDPR. Any changes will be communicated to you via email or through the platform, and your continued use of the platform constitutes acceptance of these changes.Any amendments or modifications to a contract must be agreed upon by both parties within the platform. The platform will document all changes and updates to ensure clarity and prevent disputes.
- Termination of contracts: Contracts may be terminated by mutual agreement, completion of the agreed-upon work, or for cause as outlined in the contract terms. The terminating party must notify the other party through the platform, and the termination will be recorded in the platform. If a contract is terminated for cause, the terminating party must provide a clear and justifiable reason for the termination.
- Non-disclosure and confidentiality: Contracts may include non-disclosure agreements (NDAs) or confidentiality clauses to protect sensitive information. Both parties are required to comply with these clauses and maintain the confidentiality of any proprietary information shared during the course of the engagement.
- Intellectual property rights: Unless otherwise agreed upon in the contract, all intellectual property rights to work created by the contractor for the client will be transferred to the client upon full payment for the services rendered. The contract should clearly specify the ownership of intellectual property and any licenses granted.
Payment terms
- Payment processing: Payments for services rendered by contractors are processed through the platform. Slasify acts as an intermediary, ensuring that payments are securely transferred from clients to contractors. Payments are typically made upon completion of milestones or the entire project, as specified in the contract.
- Fees and charges: Slasify may charge fees for payment processing, currency conversion, or other services provided through the platform. These fees will be clearly outlined to both clients and contractors before any transaction is completed. All fees are non-refundable unless otherwise stated.
- Invoicing and billing: Contractors may submit invoices through the platform, and clients are required to review and approve invoices before payment is processed. Slasify provides tools for automated billing, recurring payments, and financial reporting to simplify the payment process.
- Dispute resolution and refunds: In the event of a payment dispute, both parties are encouraged to resolve the issue directly. Slasify provides dispute resolution tools within the platform, but we do not guarantee resolution. Refunds may be issued at Slasify's sole discretion, depending on the circumstances of the dispute and the terms of the contract.
- Payment methods: Slasify supports multiple payment methods, including credit cards, bank transfers, and digital wallets. Availability of payment methods may vary based on your location. Slasify does not store sensitive payment information and relies on third-party payment processors to handle transactions securely.
- Currency conversion: If a payment involves currency conversion, Slasify or its payment processor will use the exchange rate at the time of the transaction. Clients and contractors are responsible for any additional fees or charges related to currency conversion.
- Taxes and withholding: Clients and contractors are responsible for understanding and complying with their tax obligations related to transactions on the platform. Slasify does not provide tax advice and is not responsible for collecting, reporting, or remitting taxes on your behalf, except as required by law.
Confidentiality and privacy
- Confidential information: Both clients and contractors agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of their engagement. confidential information includes, but is not limited to, business plans, client lists, financial information, trade secrets, and proprietary software.
- Non-disclosure obligations: You agree not to disclose any confidential information to any third party without the prior written consent of the disclosing party, except as required by law. The obligation to maintain confidentiality extends beyond the termination of the contract or your use of the platform.
- Data protection and privacy: Slasify is committed to protecting your personal data and privacy. We process your personal data in accordance with our privacy policy, which is incorporated into these terms by reference. You agree to comply with all applicable data protection laws and regulations when using the platform.
- Data storage and security: Slasify employs industry-standard security measures to protect your data. However, no method of data transmission or storage is completely secure. You acknowledge and accept that Slasify cannot guarantee absolute security and that you are responsible for safeguarding your own data.
- Data retention: Slasify retains user data as long as necessary to provide the Services or as required by law. You may request the deletion of your data by contacting Slasify, subject to any legal obligations that require data retention.
Intellectual property rights
- Platform ownership: The Slasify platform, including all content, features, and functionality, is the exclusive property of Slasify and its licensors. This includes, but is not limited to, all text, graphics, logos, trademarks, service marks, software, and user interfaces.
- License to use content: By uploading or submitting content to the platform, you grant Slasify a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for the purpose of operating and improving the platform.
- Infringement claims: If you believe that any content on the platform infringes your intellectual property rights, please notify us immediately. Slasify will investigate and take appropriate action, which may include removing the infringing content or terminating the account of the infringing user.
- User-generated content: Users retain ownership of the content they create and submit to the platform. However, by submitting content, you grant Slasify a license to use, modify, and distribute the content as necessary to provide the Services. You represent and warrant that you have the right to grant this license and that your content does not infringe the rights of any third party.
- Prohibited content: You may not upload, post, or otherwise transmit content that:
- Violates any law or regulation.
- Infringes on the intellectual property rights of others.
- Contains harmful code, such as viruses or malware.
- Is defamatory, obscene, or otherwise inappropriate.
Termination and suspension
- Termination by Slasify: Slasify reserves the right to terminate or suspend your account at any time, with or without notice, for any reason, including but not limited to violation of these terms, fraudulent activity, or any behavior that we deem harmful to the platform or other users.
- Termination by user: You may terminate your account at any time by providing a request to Slasify. Upon termination, your access to the platform will cease, and any content or data associated with your account may be deleted in accordance with our privacy policy and applicable law. You are not required to provide a reason for terminating your account. Slasify will process your request in compliance with GDPR and other applicable data protection regulations.You may terminate your account at any time by providing written notice to Slasify. - Effects of termination: Upon termination of your account, any licenses granted to you under these terms will immediately cease. You must discontinue all use of the platform, and Slasify may delete any content or data associated with your account.
- Survival of terms: The following provisions of these terms will survive termination of your account: confidentiality and privacy, intellectual property rights, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature are intended to survive termination.
Limitation of liability
- Disclaimer of warranties: The Slasify platform is provided on an "as is" and "as available" basis. Slasify makes no warranties, express or implied, regarding the platform or its functionality, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the platform will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
- Limitation of liability: To the fullest extent permitted by law, Slasify and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the platform or these Terms, regardless of the legal theory.
- Maximum liability: In no event will Slasify's total liability to you for all claims arising out of or related to these terms or your use of the platform exceed the amount you have paid to Slasify in the twelve (12) months preceding the event that gave rise to the claim.
- Exclusions: Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, the liability of Slasify will be limited to the fullest extent permitted by law.
Indemnification
- Indemnification by users:
You agree to indemnify, defend, and hold harmless Slasify, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your access to or use of the platform.
- Your violation of these terms.
- Your violation of any rights of another, including intellectual property rights or privacy rights.
- Any content or data you upload or submit to the platform.
- Indemnification procedure:
Slasify will provide you with prompt notice of any claim for which indemnification is sought. You agree to cooperate with Slasify in the defense of any such claim and to provide any information or assistance reasonably requested by Slasify. You may not settle any claim without the prior written consent of Slasify, which will not be unreasonably withheld.
Dispute resolution
- Arbitration: Any disputes arising out of or relating to these terms or your use of the platform will be resolved through binding arbitration. The arbitration will be conducted in accordance with the rules of the Singapore International Arbitration Centre (SIAC) and will take place in Singapore. The decision of the arbitrator will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
- Class action waiver: You agree that any arbitration or legal proceeding will be conducted on an individual basis and not on a class, collective, or representative basis. You waive your right to participate in any class action or class-wide arbitration.
- Governing law: These terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws principles. You agree to submit to the personal jurisdiction of the courts located in Singapore for any actions not subject to arbitration.
Force majeure
- Force majeure events: Slasify will not be liable for any failure or delay in performing its obligations under these terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, labor strikes, internet outages, or governmental actions.
- Notice of force majeure: If a force majeure event occurs, Slasify will notify you as soon as practicable and will take reasonable steps to mitigate the effects of the event. Slasify's obligations under these terms will be suspended for the duration of the force majeure event.
- Termination due to force majeure: If a force majeure event continues for more than thirty (30) days, either party may terminate these terms by providing written notice to the other party.
Miscellaneous provisions
- Entire agreement: These terms, together with any additional agreements you may enter into with Slasify in connection with the platform, constitute the entire agreement between you and Slasify regarding your use of the platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.
- Amendments: Slasify reserves the right to amend these terms at any time by posting the amended terms on the platform. Your continued use of the platform after the posting of the amended terms constitutes your acceptance of the amendments.
- Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
- Waiver: No waiver of any term or condition of these terms will be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of Slasify to assert a right or provision under these terms will not constitute a waiver of such right or provision.v
- Assignment: You may not assign or transfer any of your rights or obligations under these terms without the prior written consent of Slasify. Slasify may freely assign or transfer these terms without restriction.
- Notices: Slasify may provide notices to you via email, regular mail, or postings on the platform. You agree to keep your contact information up to date and to check the platform regularly for any notices.
- Relationship of the parties: The relationship between you and Slasify is that of independent contractors, and nothing in these terms creates a partnership, joint venture, agency, or employment relationship between you and Slasify.
Prohibited activities and use
- Prohibited activities: Users of the Slasify platform are prohibited from engaging in the following activities:
- Engaging in harassment, abuse, or discrimination: Engaging in any form of harassment, abuse, or discrimination against other users.
- Attempting unauthorized access: Attempting to gain unauthorized access to other users’ accounts or data.
- Transmitting or distributing unsolicited content: Using the platform to transmit or distribute spam, unsolicited messages, or other forms of solicitation.
- Engaging in fraudulent activities: Engaging in fraudulent activities, including creating fake accounts or misrepresenting your identity.
- Uploading harmful or infringing content: Uploading or distributing content that violates intellectual property rights or contains harmful code, such as viruses or malware.
- Violating laws or regulations: Conducting any activities that violate any applicable law, regulation, or legal requirement.
- Damaging reputations: Engaging in activities that could damage Slasify’s reputation or the reputation of other users.
- Manipulating the review system: Manipulating the platform's ranking and review system by providing false or misleading feedback or ratings.
- Disrupting platform operations: Attempting to disrupt or interfere with the proper functioning of the platform, servers, or networks connected to the platform.
- Engaging in or facilitating tax evasion: Using Slasify for the purpose of evading taxes is strictly prohibited. You are responsible for complying with all tax laws applicable to you.
- Engaging in money laundering activities: The use of Slasify for any money laundering purposes is strictly forbidden. You must ensure that all activities conducted through the platform comply with anti-money laundering laws.
- Violating sanctions regulations: You are prohibited from using Slasify in any way that violates applicable sanctions regulations, including those imposed by international authorities such as the United Nations, the European Union, and the United States.
- Consequences of prohibited use: Any user found to be engaging in prohibited activities may have their account suspended or terminated without notice. Slasify reserves the right to take legal action against users who violate these prohibitions, including seeking damages and pursuing criminal charges where applicable.
- Reporting prohibited activities: If you believe that another user is engaging in prohibited activities, you are encouraged to report the behavior to Slasify's support team. Slasify will investigate all reports and take appropriate action in accordance with these Terms.
Compliance with laws
- Legal compliance: You agree to comply with all applicable local, state, national, and international laws, regulations, and ordinances related to your use of the platform and the Services.
- Export controls: The platform and the Services may be subject to export laws and regulations of the United States and other jurisdictions. You agree to comply with all applicable export laws and regulations and to obtain any necessary licenses or permits required for your use of the platform and the Services.
- Anti-corruption compliance: You agree not to engage in any activities that would violate any applicable anti-corruption or anti-bribery laws, including but not limited to the U.S. Foreign Corrupt Practices Act and the UK Bribery Act.
- Anti-tax evasion: Slasify is not designed for tax evasion. You are responsible for ensuring that you comply with all applicable tax laws in your jurisdiction.
- Anti-money laundering: You agree that you will not use Slasify for any money laundering purposes. You must comply with all applicable anti-money laundering laws and regulations.
- Sanction regulations: You agree to comply with all applicable sanctions regulations, including but not limited to those imposed by the United Nations, the European Union, the United States, and any other relevant authorities.
